Art. 1. – The association is constituted as a non-profit association (association sans but lucratif) governed by these statutes and by the Law of 7 August 2023 on non-profit associations and foundations, as subsequently amended.
It is named “Fédération Luxembourgeoise de la Photographie Artistique”, hereinafter referred to as the “Federation” or by the abbreviation “FLPA”.
Art. 2. – The registered office of the Federation is in Kayl; it may be transferred to any other locality in the Grand Duchy of Luxembourg.
Art. 3. – The Federation is established for an unlimited period.
Art. 4. – The purpose of the Federation is to advance photography by encouraging the grouping and development of Luxembourg photographic associations, hereinafter referred to as “societies”, the coordination and intensification of relations between these societies, and collaboration with photographers abroad within the Fédération Internationale de l’Art Photographique.
Art. 5. – The Federation pursues this purpose by all means at its disposal and in particular:
a. by circulating exchange collections of their members' work among the affiliated societies;
b. through lectures and practical demonstrations;
c. through its collaboration in local, regional, national and international exhibitions;
d. through its participation in the juries of these exhibitions.
Art. 6. – The Federation's resources consist of:
a. annual membership fees, the amount of which, not exceeding two hundred and fifty euros (€250.00), shall be set each year by the General Meeting;
b. donations and grants in its favour;
c. income from its activities.
TITLE II. – Affiliated societies
Art. 7. – Any photographic society approved by the Federation is an associate member of the Federation; the number of associate members may not be fewer than five. The Board of Directors keeps the list of members up to date. This list is kept at the Federation's registered office, where members may consult it.
Art. 8. – The affiliation of a new society is subject to:
a. the submission of a written application or an online form on the FLPA website;
b. acceptance of these statutes;
c. payment of the membership fee.
The application for affiliation is submitted either to the Delegates' Meeting or to the Ordinary General Meeting, which decides on final affiliation by a simple majority of the votes of the delegates present or represented.
Art. 9. – A society loses its membership and its rights:
a. by resignation notified by registered letter to the Board of Directors;
b. by non-payment of the membership fee;
c. by exclusion.
Art. 10. – With the consent of the General Meeting ruling by a two-thirds majority of the votes, the FLPA Board of Directors may exclude a society that has acted contrary to the Federation's purpose.
Exclusion may only be pronounced for serious reasons, the society concerned having first been invited by registered letter to provide an explanation.
Art. 11. – Each affiliated society remains an independent unit of equal standing in deliberations. It is represented at the Federation's meetings by two of its members delegated for this purpose. In the event of a vote, each society, regardless of its size, has only two votes, provided that both delegates, or their authorised substitutes, are present or represented at the meetings. The Federation has no right to interfere in the internal activities of the affiliated societies.
TITLE III. – Administration
Art. 12. – The Federation is managed by a Board of Directors comprising a minimum of five and a maximum of eleven directors, elected by the Ordinary General Meeting held during the first quarter of the current financial year. No more than
- two delegates for a Board of fewer than seven members
- three delegates for a Board of seven or more members
from one and the same affiliated society may be elected as directors. In every vote, the votes of at least three represented societies must be combined.
Art. 13. – The term of office of Board members is two financial years. Half of the Board is renewed every year. The names of the outgoing members, who are eligible for re-election at any time, must be placed on the agenda of the General Meeting.
Art. 14. – If, during a financial year, a member of the FLPA Board of Directors has been absent from meetings three times without excuse, the case is submitted to the delegates for assessment.
Board members who resign, are excluded or die during their term of office are replaced at the next Delegates' Meeting. They must be confirmed according to the usual procedure at the Ordinary General Meeting.
Art. 15. – The Board of Directors consists of a president, one to three vice-presidents, a secretary, a treasurer and as many other members as necessary up to a maximum of eleven directors. In the absence or incapacity of the president and the vice-president, their duties are performed by the longest-serving of the other Board members.
All members of affiliated societies holding a valid licence are eligible.
Standing simultaneously for the office of president and for another office on the Board of Directors is not permitted.
The president is elected separately by the General Meeting. The other offices are allocated within the Board of Directors.
Decisions of the Board of Directors are taken by majority vote.
The Board of Directors may only validly deliberate if at least half of its members are present.
Board meetings may be held by videoconference.
Art. 16. – The Board of Directors may draw up internal regulations that bind all members in the same way as these statutes.
Art. 17. – The Board of Directors manages the day-to-day business of the Federation. It may temporarily be assisted by any person of its choice, who has only an advisory vote. The Board meets whenever the interests of the Federation so require.
Art. 18. – The treasurer is responsible for the funds; his or her signature alone is sufficient for day-to-day banking transactions. The treasurer submits the report and balance sheet for the past financial year to the Ordinary General Meeting, and the budget for the coming financial year to the Delegates' Meeting of the fourth quarter.
Art. 19. – The joint signatures of two members of the Board of Directors, one of whom must be the president or the secretary, validly bind the Federation towards third parties.
Title IV. – Meetings
Art. 20. – The dates of meetings are set by the Board of Directors.
Art. 21. – All members are convened to the Meeting at least fifteen days beforehand; notice is given by post or electronically. The agenda is attached to the notice.
Members may be represented at the Meeting by another member by means of a written proxy; a member may represent only one other member.
In exceptional circumstances, members may be invited to take part in the Meeting by videoconference or by telecommunication means allowing their identification. These means must meet technical requirements guaranteeing effective participation in the Meeting, whose deliberations are broadcast continuously. A meeting held by such remote means is deemed to take place at the Federation's registered office. Members taking part remotely are deemed to be present.
A. Delegates' Meeting
Art. 22. – The delegates of the affiliated societies meet at least once every six months as the Delegates' Meeting. The Delegates' Meeting of the second half-year approves the budget for the coming financial year.

D. Quorum and majorities
Art. 27. – The Meeting decides without a quorum by a majority of the votes cast. All members have equal voting rights at the Meeting, and resolutions are adopted by a majority of the votes of the members present or represented, except where otherwise provided by law or by these statutes.
Art. 28. – Amendment of the statutes
a. The General Meeting may only validly deliberate on amendments to the statutes if the text of the amendments is stated in the notice and at least two thirds of the members are present or represented.
b. An amendment may only be adopted by a two-thirds majority of the votes of the members present or represented.
c. However, an amendment to the purpose for which the Federation was established may only be adopted by a three-quarters majority of the votes of the members present or represented.
d. If two thirds of the members are not present or represented at the first General Meeting, a second meeting must be convened at least eight days before it is held, in the statutory form. This second General Meeting may validly deliberate regardless of the number of members present or represented and adopt the amendments by the majorities provided for in paragraphs (b) and (c).
e. The second General Meeting may not be held less than fifteen days after the first General Meeting. The notice of the second General Meeting reproduces the agenda and states the date and outcome of the first General Meeting.
f. Any amendment to the statutes adopted in breach of paragraphs (a) to (e) is null and void.
